Drinan Memorial Fellowship, awarded annually to fund the summer employment of a Suffolk Law student. “It’s a tremendous honor,” said Groff. “It’s amazing to have the support of so many attorneys involved in the Drinan Committee.” Named for public defender and federal prosecutor Thomas J. Drinan JD ’76, the Drinan Fellowship is granted to a Suffolk Law student who demonstrates a commitment to the highest standards of integrity and advocacy within the criminal justice system. Since 1988, the Drinan Committee has chosen one student for a 10-week summer position in a public office in Massachusetts engaged in the prosecution or defense of criminal cases. MORE THAN 1,100 PEOPLE ATTEND REUNION WEEKEND
About 1,100 people descended on the Columbia Law School campus June 6 and 7 for reunion weekend, where they touched base with old friends, took walking tours of campus, celebrated at cocktail parties and dinners, and attended some educational endeavors as well. Events included a 50th Reunion Luncheon for the Class of 1958 with Dean David Schizer, and a panel called "Looking for Law in China," moderated by Professor Benjamin Liebman. On Saturday, about 100 people attended a lecture by Professor Gillian Metzger '95 (at left)called "The Roberts Court: Where is It Going, Where Has It Been?" READ MORE

Duquesne’s New Legal Writing Program Ranked Among the Best in the Country!

The School of Law’s new Legal Research and Writing Program is ranked in the top 30 of all the law schools in the nation as announced recently by U.S. News and World Report. The 2009 rankings issue lists Duquesne’s program ahead of nearly 160 other law schools, and this is the first time the School of Law has been listed in any of the Specialty Rankings categories. The Legal Writing specialty ranking, begun by U.S. News in 2006, is voted on by legal writing directors throughout the country, reflecting the opinion of those with specialized knowledge of the field based on information available at the start of the 2007-08 academic year.

Former U.S. Attorney General and past Pennsylvania Governor Dick Thornburgh delivered the keynote address at Duquesne University’s 95th annual School of Law Commencement on Sunday, June 1.

St. Mary´s University School of Law is scheduled to host TechLaw SA: Pragmatic Use of Technology in Litigation, a CLE course, on July 25, 2008. The course will be held in St. Mary´s courtroom and offer 8.25 CLE hours and 1 hour of ethics training. Fee for the course is $185. For more information, please visit www.techlawsa.com.

St. Mary´s University President Charles L. Cotrell, Ph.D., today announced that long-time faculty member Charles Cantú has been named Dean of the St. Mary´s School of Law. Cantú, who has served as interim dean since June 1, 2007, is a graduate of the law school and has been a member of the faculty for 42 years. "Charles Cantú has a vision for the law school that is based in his personal and professional dedication to St. Mary´s and the law school," Cotrell said. "In the past year as interim dean, Cantú has shown in both word and deed that he is committed to and capable of moving the School of Law forward as we look to meet the goals of the University´s strategic plan, Vision 2012. Particularly commendable has been his success in engaging alumni through activities and gifts, while emphasizing on campus the role of faculty, staff and students in ensuring academic success."

CHANGES TO THE SAFETY ACT





At the December 19, 2007 meeting of the ABA Homeland Security Committee, we will be discussing the interim FAR rule to implement the SAFETY Act. (See background at the bottom of this e-mail.) Co-Chair Paul Haseman and Mark Robertson will lead the discussion. Mark Robertson is the former Associate General Counsel for the DHS Science & Technology Directorate and a founding member of Klitenic Robertson PLLC and KR Security LLC. Based on comments received to date, Paul has taken the lead in preparing a draft of the ABA’s comments on the rule, which are attached. (For internal ABA coordination purposes, draft comments must be submitted for ABA/PCL Council review by 24 December.)



Even if you cannot make the meeting on December 19, your written comments on the FAR interim regulation or draft comments are solicited. Also, if you would like to assist in preparing the next draft of the comments, please contact Paul Haseman at pbhaseman@raytheon.com or 303-344-6102.

BACKGROUND ON THE SAFETY ACT AND INTERIM RULE



The Civilian Agency Acquisition Council and the Defense Acquisition Regulations Council (“Councils”) have agreed on an interim rule amending the FAR to implement the Department of Homeland Security (DHS) regulations on the Support Antiterrorism by Fostering Effective Technologies (“SAFETY”) Act of 2002, (6 USC 441–444). As part of the Homeland Security Act of 2002, Congress enacted liability protections for providers of certain anti-terrorism technologies. The SAFETY Act provides incentives for the development and deployment of antiterrorism technologies by creating a system of ‘‘risk management’’ and a system of ‘‘litigation management.’’ The SAFETY Act applies to a broad range of technologies, including products, services, and software, or combinations thereof, as long as DHS determines that a technology merits designation. The purpose of the SAFETY Act is to ensure that the threat of liability does not deter potential manufacturers or sellers of anti-terrorism technologies from developing, deploying, and commercializing technologies that could save lives. In June 2006, DHS issued a final rule addressing liability limitations and the establishment of "SAFETY Act designations" and "SAFETY Act certifications" for technology that is Qualified Anti-Terrorism Technology. The interim rule intended to integrate the SAFETY Act’s benefits and DHS's rules into the federal acquisition system so that the Government can procure necessary anti-terrorism technologies. Among other things, the interim rule adds a new FAR Subpart 50.1 (Extraordinary Contractual Actions) and Subpart 50.2 (Support of Anti-terrorism by Fostering Effective Technologies Act of 2002), which includes the policy statement for implementing the SAFETY Act in 50.204 and the SAFETY Act considerations that must be included in acquisition planning, in 50.205.



The interim rule also includes a clause to implement the SAFETY Act rules.

This interim rule impacts 48 CFR Parts 1, 17, 18, 28, 32, 33, 43, 50 and 52. The interim rule was published in 72 Fed. Reg. 63027 on November 7, 2007.

Please review the interim rule to determine whether comments are warranted:



(a) to address perceived issues in the interim rule, or



(b) to support or applaud agency efforts reflected in the interim rule.



In order to meet the deadline for comments of January 7, 2008, Committee intends on taking one of the following actions no later than December 24, 2007: (1) provide draft comments, if any; (2) indicate that the interim rule should receive the Section's affirmative support (in which case we will coordinate on a brief letter); or (3) indicate that no action should be taken.

Arbitration: Service of suit/consent to jurisdiction provision in contract
does not override contractual agreement to arbitrate. (Pa. Super)

Arbitration: Party must object to an arbitration clause before or during
the arbitration, not after; objection only on appeal to vacate is not
sufficient. (Conn. App.)


Seawright v. American General Financial Services, Inc.,
2007 WL 3341692 (6th Cir., November 13, 2007)

American General Financial Services (“AGF”) instituted an Employee Dispute
Resolution Program. AGF circulated a brochure, which explained the program
was the sole means of resolving all employee-employer disputes. The
brochure declared that continuing employment with AGF constituted
acceptance of the agreement. Seawright was fired, after which she filed a
claim for wrongful termination, and the trial court held Seawright was not
required to arbitrated. AGF appealed, and Seawright argued that she had
not assented to arbitration; that there was no bargained-for exchange; and
the agreement was adhesionary and unconscionable. The 6th Circuit held 1)
Tennessee law recognized acceptance through action and thus continuing
employment was sufficient to indicate that assent, 2) the requirement to
arbitrate was binding on both parties and this constituted valuable
consideration, 3) where Seawright showed no evidence that she’d be unable
to find comparable employment the contract was not adhesionary, and 4)
mere unequal bargaining power does not constitute procedural
unconscionability. (DA).

Qualcomm v. American Wireless License Group, LLC, 2007 WL 3378563 (Miss.,
Nov. 15, 2007)

Leap, a subsidiary of Qualcomm, agreed to give American Wireless License
Group (AWG) 1.9 million shares of stock in exchange for wireless telephone
licenses. The agreement contained a clause providing that either the
buyer (AWG) or seller (Leap) could elect to resolve disputes through
binding arbitration. After the transfer, AWG began selling the stock on
the public market. The shareholders who purchased the stock sued Leap and
Qualcomm alleging failure to disclose material facts that adversely
affected the value of the stock. Qualcomm moved to compel arbitration,
but was denied, and subsequently appealed. The Court held that the
language of the arbitration provision extended only to Leap and AWG as
corporate entities. The parties to the contract did not agree to extend
to third parties the benefit of the arbitration clause. Neither Leap nor
Qualcomm sold stock to the shareholders. The contract between Leap and AWG
did not extend to the shareholders who bought stock from AWG. (AH)

Gaffer Ins. Co. v. Discover Reinsurance Co., 2007 WL 3408637 (Pa. Super.,
Nov. 16, 2007)
Gaffer Ins. Co. (Gaffer) and Discover Reinsurance Co. (Discover) agreed to
an insurance contract. The contract contained a mandatory arbitration
clause and, because Gaffer was a foreign company, a service of
suit/consent to jurisdiction provision. The arbitration clause called for
any disputes between the parties to be settled by arbitration, “unless
both parties agreed otherwise”. Gaffer and Discover had a disagreement
over money and Gaffer sued Discover in the Lackawanna County,
Pennsylvania. Discover moved for the court to compel arbitration under the
contract. The court denied Discover’s motion and the company appealed. The
Pennsylvania Superior Court reversed rejecting Gaffer’s argument that the
service of suit clause was precisely why the arbitration clause stated
that “both parties could agree otherwise” instead of arbitrating. The
Court reasoned that the contract should be interpreted broadly to give
meaning to all its clauses, and found the service of suit provision was
simply to provide a means of service for court issues that might arise
under the contract. The provision did not negate the arbitration clause,
the Court said, because doing so would have made the arbitration clause
ineffectual. (BR)

MBNA America Bank v. Bailey, 2007 WL 3355482 (Conn.App., November 20, 2007).

Defendant Bailey received an MBNA credit card, and after beginning use, an
arbitration clause amending the contract was included in papers
accompanying a bill. Bailey never signed the amendment but did continue to
use the card, which was considered assent. Bailey charged $8500.00 on his
MBNA credit card and failed to make payments. MBNA sent notice to Bailey
and initiated arbitration proceedings for default on the debt. Bailey
never challenged the arbitration or presented any objection. Arbitrator
found for MBNA, and MBNA filed for judgment in Connecticut Superior Court.
Bailey then challenged MBNA’s course of action ( months after the judgment
of the arbitrator). The court affirmed after denying Bailey’s motion to
dismiss for lack of subject matter jurisdiction. The trial court held the
time to raise a contract’s arbitrable quality is before or during
arbitration in order to preserve the ability of the court to hear the
dispute. Appellate court affirmed the lower court’s decision and affirmed
the award to MBNA. (JS)
